These Merchant Terms and Conditions (“Agreement”) govern the relationship between BitEgreen Market Inc. (“BitEgreen,” “we,” “our,” or “the Platform”) and any business, merchant, vendor, or seller (“Merchant,” “you,” or “your”) that registers to sell products or services through the BitEgreen Marketplace. By creating a merchant account or listing products on the Platform, you agree to be legally bound by these Terms.
1. Introduction and Platform Purpose
Welcome to the BitEgreen Marketplace. By creating a Merchant account, your business agrees to operate in alignment with the BitEgreen platform’s mission to enhance sustainability, promote a circular economy, mitigate climate change, and support vulnerable communities. These Terms and Conditions govern the commercial relationship between you (the Merchant) and BitEgreen Market Inc. (“BitEgreen,” “we,” “us,” or “our”).
2. Merchant Eligibility and Registration
To register as a merchant, your business must meet the following criteria:
Accuracy of Information: You must provide accurate, current, and complete information, including your legal name or legal business name.
Legality: Where necessary or applicable, you must possess all legally required licenses and registrations to conduct business in your operating jurisdiction (e.g., Barbados or other applicable territories).
3. BitEgreen Notes and Rewards Integration
BitEgreen allows citizens to earn digital e-currency (BitEgreen Notes) through sustainable actions (e.g., recycling, composting).
Acceptance: As a merchant, you agree to accept BitEgreen Notes as a form of payment, partial payment, or for specific discount deals as agreed upon in your individual vendor agreement.
4. Pricing
Merchants determine their own prices.
Prices displayed must:
Include applicable taxes where required.
Be accurate.
Match the final checkout price.
Not contain hidden fees.
Merchants may not artificially inflate prices during emergencies or disasters.
5. Merchant/Business Obligations
As a BitEgreen merchant, you are strictly required to:
Accurate Listings: Provide clear, accurate, and honest descriptions, pricing, and images of your products or services.
Fulfillment: Fulfill all customer orders either in-store or online within the timeframe stated on your product listing. Merchants agree to:
Accept orders promptly.
Prepare orders accurately.
Ship orders within the stated processing time.
Notify customers of delays.
Taxes: Be responsible for:
• Income taxes
• Sales taxes
• VAT/GST
• Customs duties
• Other applicable taxes
BitEgreen does not provide tax advice.
Shipping and Delivery: Be responsible for:
• Proper packaging
• Timely dispatch
• Tracking information (where available)
• Compliance with shipping regulations
Risk of loss remains with the Merchant until delivery unless otherwise agreed.
Customer Service: Merchants shall:
• Respond to customer inquiries promptly.
• Resolve complaints professionally.
• Cooperate with BitEgreen during dispute investigations.
• Honour valid warranties and guarantees.
Returns and Refunds: Merchants must maintain a clear return and refund policy. Refunds shall be processed within the timeframe established by BitEgreen or applicable law. BitEgreen Market Inc. may intervene in customer disputes where necessary.
Sustainable Operations: Comply with all local environmental regulations and BitEgreen’s circular economy guidelines. You must minimize packaging and promote sustainable waste diversion where possible.
6. Inventory Management
Merchants must maintain accurate inventory levels.
Products listed as available must actually be in stock.
Repeated cancellations due to stock shortages may result in account suspension.
7. Prohibited Products
The following products may not be listed:
Illegal goods
Counterfeit products
Stolen property
Dangerous or hazardous materials
Weapons
Adult content
Products that violate intellectual property rights
Items prohibited under local or international laws
BitEgreen will remove prohibited products.
8. Fees, Commissions, and Payouts
Marketplace Fees: BitEgreen Market Inc. offers a commission on donations collected through the merchant or business. This percentage is specified in your finalized Merchant Agreement.
9. Intellectual Property
Platform Rights: BitEgreen owns all rights, titles, and interests in the BitEgreen Marketplace, app, platform, and its proprietary software.
By listing products, you grant BitEgreen a worldwide, royalty-free licence to display, reproduce, and promote your listings for marketplace operations and marketing purposes.
Merchant Content: Merchants retain ownership of their trademarks, logos, and product images. By providing content (logos, images, text), you grant BitEgreen a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content on the marketplace platform for promotional purposes.
10. Confidentiality and Privacy
Merchants shall keep confidential any non-public information obtained through the Platform, including customer information and business data. Merchants must comply with all applicable data protection and privacy laws when handling customer information. Customer data obtained through BitEgreen may only be used for fulfilling marketplace transactions.
11. Limitation of Liability and Indemnification
Role as Facilitator: BitEgreen acts as a technological intermediary connecting buyers and merchants. We are not the manufacturer or seller of the items.
Liability: To the maximum extent permitted by law, BitEgreen shall not be liable for any indirect, incidental, or consequential damages arising from the sale, use, or consumption of your products or services.
Indemnity: You agree to indemnify and hold harmless BitEgreen Market Inc., its affiliates, and its officers from any claims, damages, or liabilities (including legal fees) brought forward by customers or third parties regarding your products, services, or failure to comply with local laws.
12. Termination and Suspension
Either party may terminate the merchant agreement within sixty 60 days written notice.
BitEgreen reserves the right to suspend or terminate your merchant account immediately if you breach these Terms and Conditions, engage in fraudulent or illegal activities, or fail to uphold the platform’s environmental and ethical standards.
Termination does not relieve the Merchant of outstanding obligations.
13. Dispute Resolution
Any disputes arising between the Merchant and BitEgreen shall first be resolved through good-faith negotiations. If a resolution cannot be reached, the dispute shall be governed by and construed in accordance with the laws of Barbados, and subject to the exclusive jurisdiction of its courts.
14. Compliance with Laws
Merchants agree to comply with all applicable laws, regulations, and consumer protection requirements in the jurisdictions where they operate and sell.
15. Modifications to Terms
BitEgreen reserves the right to update or modify these Terms and Conditions at any time. Merchants will be notified of any changes via the platform or email. Continued use of the BitEgreen Marketplace following such changes constitutes your acceptance of the new Terms and Conditions.
16. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, war, labour disputes, or government actions.
